Termination of Acquisition Agreement - Eroma

3 March 2022

Reference is made to dusk Group Limited’s ('dusk', ASX:DSK) announcement dated 17 December 2021 in which dusk announced that it had entered into a conditional agreement to purchase 100% of Eroma Group (“Eroma”).

The acquisition agreement was, consistent with market practice, subject to certain conditions precedent to Completion. Satisfaction of all of the conditions has not been achieved.

As such, dusk will not be proceeding with the acquisition of Eroma.

The release of this announcement was authorised by the Board of Directors of dusk Group Limited.
