Subject: Outcome of Allotment Committee Meeting held on 1[st] February, 2021

Reg: Intimation to Stock Exchanges under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) in relation to allotment of Preferential Issue of Equity Shares and Warrants Convertible into Equity Shares.

We wish to inform you that the Members of the Allotment Committee at its meeting held today i.e., Monday, 1[st] February, 2021, have approved the issuance and allotment of the following on conversion of outstanding Unsecured Loan amount post receiving in-principal approval from BSE Ltd. and National Stock Exchange of India Ltd.:

1. 5,70,00,000 Equity Shares and 5,96,34,400 Warrants convertible into Equity Shares to Mr. Arun Govil, Promoter and Managing Director of the Company at an issue price of Rs. 5/- each (Face Value of Re. 1/- each and Premium value of Rs. 4/- each).

2. 1,50,00,000 Equity Shares to Mr. Atul Kumar, Non-promoter of the Company at an issue price of Rs. 5/- each (Face Value of Re. 1/- each and Premium value of Rs. 4/- each).

The above allotment shall be made in the manner as set out in the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (the “SEBI ICDR Regulations") and any other applicable rules / regulations / guidelines, if any, prescribed by any other regulatory or statutory authorities.

The Allotment Committee meeting was commenced at 3:00 p.m. and concluded at 3:30 p.m.
