MAJOR AND CONNECTED TRANSACTION FURTHER EXTENSION OF LONG STOP DATE

Reference is made to the announcement of EverChina Int'l Holdings Company Limited (the "Company") dated 13 June 2017, 29 September 2017, 5 December 2017, 20 December 2017 and 26 March 2018 and the circular (the "Circular") of the Company dated 28 June 2018 in relation to, among other things, the major and connected transaction of the Company regarding the Acquisition. Capitalised terms used in this announcement shall have the same meaning as those used in the Circular unless otherwise defined.

Extension of the Long Stop Date

Pursuant to the Sale and Purchase Agreement, Completion is conditional upon fulfilment of the conditions precedent set out in the Sale and Purchase Agreement on or before 30 June 2018 (or such later date as the Company may agree) (the "Long Stop Date"). As additional time is required for the fulfilment of the conditions precedent, on 29 June 2018, the Company has informed Mr. Jiang to further extend the Long Stop Date from 30 June 2018 to 31 August 2018, or such later date as the Company may agree.

Save as disclosed above, all other terms of the Sale and Purchase Agreement shall remain unchanged and in full force and effect.
