lncrease in the Authorized Share Capital ofthe Company and consequent alteration ofCapitalClause V of Memorandum of Association of the Company.
Subject to opprovol ol the shareholders, the Boord has apprcved the increose ol Authorized Shore Copitol ol the Compony trom Rs.7O65, ), N/- (Rupees Ten Crctes Sirty Five Lokhs) to Rs. rc,N,0O,00O/- (Rupees Sixteen Crores Only) and Consequent Alterotion in Clause V ol the Memorandum ol Associotion of the Compony.
- Approval of the notice of postal ballot (by E-voting).
The Board also approved the draft notice of postal ballot to be issued to the shareholders for seeking their approval inter alia for:
- lncrease of authorized share capital of the Company and consequent alteration of Capital Clause V of Memorandum of Association of the Company. a)
- Approval of draft Loan Agreement entered between New Bonanza lmpex Private Limited (Lender) and DSJ Keep Learning Limited (Borrower). b)
- Appointment of Mr. Anshul Bhatt, Proprietor of Anshul Bhatt & Associates, Practicing Company Secretary, Mumbai as Scrutinizer to conduct the proposed Postal Ballot and e-voting process in a fair and transparent ma nner. 3.
