Appointment of Auditor

The ERO Mining Limited (Company or ERO) Notice of Annual General Meeting (Notice) dated 15 July 2013 includes a resolution that Grant Thornton Audit Pty Ltd (Auditor) be appointed as auditor of the Company.

ERO advises that due to an administrative oversight a notice of nomination (Nomination) required for the appointment of the Auditor was not obtained by the Company prior to dispatch of the Notice to shareholders and therefore was not dispatched with the Notice. A Nomination has since been obtained in the form of the attached written notice.

In response to an application from the Company, the Australian Securities and Investments Commission, having regard to the action taken by ERO in obtaining the required Nomination, has granted an order pursuant to sub-section 340 (1) of the Corporations Act 2001 (Cth) (Act) exempting the Company from having to comply with the timing and procedural requirements under section 328B of the Act in relation to the appointment of the Auditor at the Annual General Meeting.

Following the resignation of Grant Thornton South Australian Partnership, subject to ASIC consent, I wish to nominate Grant Thornton Audit Pty Ltd as auditor of ERO Mining Limited at the forthcoming annual general meeting.
