Subject: Outcome of Board Meeting

Pursuant to the Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform you that the Board at its meeting held today has considered and approved to divest its 5.00% stake in Nextenders (India) Private Limited (“Nextenders”) to Vedity Software Private Limited (“Vedity”). Pursuant to the said transaction, Nextenders has ceased to be an Associate of the Company.

The details as required under Listing Regulations read with SEBI Circular No. CIR / CFO /CMD / 4/2015 dated September 09, 2015 are enclosed as Annexure‐A to this letter.

We further inform you that pursuant to the SEBI (Prohibition of Insider Trading) Regulations, 2015 as amended, in accordance with the Company’s Code of Conduct for Prevention of Insider Trading, the Trading Window for dealing in the securities of the Company will remain closed from Saturday, March 25, 2023 till Tuesday, March 28, 2023 (both days inclusive).
