DOWNER REFINANCES $260 MILLION WARATAH BONDING FACILITY

Downer EDI Limited (Downer) today announced that it had successfully refinanced a A$260 million committed Syndicated Bonding Facility (the "Facility") in respect of the Waratah train project.

The Facility refinances performance bonding put in place in 2006 to support Downer EDI Rail's performance obligations under the Waratah Rolling Stock Manufacturing Contract and the Auburn Maintenance Facility Contract.

The Facility amortises progressively over the next three years to below A$100 million in line with projected train set deliveries based on the current production schedule.

The Chief Financial Officer of Downer, Kevin Fletcher, said the Facility was completed in challenging financial markets with the strong support of Downer's key financiers.

Mr Fletcher said that Downer had also completed the refinancing of all its bilateral bank facilities that were due to mature by December 2011.
