CHANGE OF COMPANY SECRETARY

Downer EDI Limited (Downer) today advised that Bruce Crane, Company Secretary of Downer EDI Limited, will be retiring from the Company in August 2011 following 30 years service in various financial and general management roles.

Peter Tompkins has been appointed as Group General Counsel & Company Secretary and will be responsible for legal and secretarial issues across the Group. Peter has been providing commercial and legal advice to Downer and its divisions for over four years in his current role of Group General Counsel.

Peter Lyons, currently Deputy Company Secretary, has been appointed as Joint Company Secretary. Peter has been in financial and secretarial roles in Downer’s corporate office for over ten years.

In accordance with Listing Rule 12.6, Peter Tompkins is responsible for communications with ASX in relation to listing rule matters.
