Item 8.01 Other Events

On October 8, 2024, Dover Corporation (the “ Company ”) issued a press release announcing the completion of the sale of the Company’s businesses comprising the Environmental Solutions Group to Terex Corporation pursuant to the terms of the previously announced Transaction Agreement, dated as of July 21, 2024. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
