NOTICE OF FILING OF THE UPDATED BY-LAWS
Rome, November 29th, 2024 – doValue S.p.A. ("doValue" or the "Company", Euronext Milan DOV.MI) informs that, following the registration of the Companies' Register of Verona on November 29, 2024, the new text of the By-laws is available to the public at the Company's registered office in Verona, on the Company's website (www.dovalue.it) in the section "Governance" and on the website of the authorized storage mechanism "eMarket Storage" ().
The new text of the bylaws reflects (i) the new composition of the share capital following the conversion of no. 4,000,000 convertible notes, as approved by the Board of Directors' resolution dated November 6, 2024 and issued on November 13, 2024, in execution of the proxy granted by the Extraordinary Shareholders' Meeting held on September 11, 2024, into no. 4,000,000 newly issued ordinary shares of doValue and (ii) the amendments to the By-laws referred to in item 4 on the agenda, extraordinary part, of the Shareholders' Meeting held on September 11, 2024, whose effectiveness was subject to the completion of the acquisition of Gardant S.p.A. by doValue, which occurred on November 22, 2024.
