BOARD OF DIRECTORS

Rome, May 3rd, 2022 – doValue S.p.A. ("doValue", or the "Company", or the "Group") announces that today the Board of Directors, having obtained the opinion of the Nomination and Remuneration Committee, has:

• ascertained in relation to Prof. Cristina Finocchi Mahne, confirmed as Director by the Shareholders' Meeting held on April 28th , 2022, the possession of the requirements in force as well as the possession of the independence requirement provided for by art. 148, paragraph 3, of Legislative Decree 58/1998 (TUF), by art. 2 of the Corporate Governance Code of listed companies and the Articles of Association;
• ascertained the overall adequacy of its composition and the compliance of this composition with current regulations, including regulations, and with that identified as optimal by the Board of Directors on February 25th , 2021;
• confirmed Prof. Cristina Finocchi Mahne as Chairman of the Risks, Related Party Transactions and Sustainability Committee.
