On December 27, 2010, the Compensation Committee (the “Committee”) of the Board of Directors (the “Board”) of Douglas Dynamics, Inc. (the “Company”) approved form grant notices and standard terms and conditions that it intends to use under the Company’s 2010 Stock Incentive Plan for future awards of restricted stock, employee restricted stock units and director restricted stock units. These form grant notices and standard terms and conditions are attached hereto as Exhibits 10.1, 10.2 and 10.3, respectively, and incorporated herein by reference.
