CHAIRMAN’S ADDRESS – ANNUAL GENERAL MEETING 31 MAY 2019

Dear Shareholders,

On behalf of the Board of Directors, I would like to welcome you to the Dotz Nano Limited (ASX: DTZ ) (“ Dotz ” or the “ Company ”) Annual General Meeting for 2019.

My name is Volker Mirgel and I have been the non-executive Chairman of Dotz for about a year. When I accepted this role, I was aware that Dotz was a start-up company with many obstacles to overcome.

With my past experience, I was ready for the challenges involved with a Company in the early stages of commercialisation.

These events included the need to refine the initial technology. This meant the company had to invest money, and, even more importantly, more time before taking the technology to market.

The preceding 12 months have also seen key personnel changes, including the appointment of CEO, Mr Uzi Breier who replaced the founding CEO, Dr Moti Gross who resigned in May 2018.

However, Mr Breier has refocused the Dotz technology on key applications in the plastics, lubricants and oil and gas sectors. With about $470,000 in initial sales earlier this year, and ongoing negotiations with potential end-customers, rather than distributors, the new go-to-market strategy shows good potential.

I would like to acknowledge the tiresome effort by Uzi Breier, to set out revised business plans, procure the initial orders and secure funding to keep the Company afloat.

Where are we today? Even though the Company has achieved its first commercial successes, the Company still needs further sales to achieve a sustainable cash flow, be self-supporting and to give the Company a foundation for profitable growth. To assist, the Company has also taken significant cost-cutting measures and is acutely aware of the need to raise further capital in the short-term.

I believe in the future of the technology and its future commercial success. At the time of the IPO, management underestimated the time it would take to commercialise a sophisticated technology of this nature in the market. However, with the current management team in place we are realistic of the workload required to achieve:

• Commercial success; and

• Continuous product and application development

Revenue-cost-innovation

It’s often reported that 90 percent of all start-ups fail for reasons being, technology, management, revenue or funding.

We have the technology. We have an excellent management team committed to making Dotz a commercial success. We have also recently commenced genuine revenue generation.

With this realistic and optimistic outlook, I now turn it over to you on the other side of the World. I am sorry that I am not able to be personally present at the meeting, I believe that our financial resources are better utilised in developing the business rather than flying the Chairman around. Good audiovisual technology is available and thus while not being at the AGM physically, it allows me to still be present at this AGM and answer any questions you may have.

Accordingly, I have asked my fellow Director, Mr Ashley Krongold to Chair the meeting and I now hand over to Ashley to conduct the formalities of the AGM.
