ASX ANNOUNCEMENT

CHAIRMAN’S ADDRESS – ANNUAL GENERAL MEETING 31 MAY 2018

On behalf of the Board of Directors, I would like to welcome you to the Dotz Nano Limited (ASX: DTZ ) (“ Dotz ” or the “ Company ”) Annual General Meeting for 2018.

Since the last Annual Meeting we have seen a lot of changes in Dotz, changes in the direction of the company and in the management.

Before I will address these changes, allow me to introduce myself as the current Chairman of the Board of Directors of Dotz since April 03 this year.

I was born in Germany. I received my PhD in Chemistry in 1979 from the University of Cologne. After a short teaching career, I joined Bayer AG, one of the world’s largest chemical, pharmaceutical companies, best known for Aspirin.

During my 34 year career at Bayer, I worked in different parts of the business, was located back and forth between Europe, the United States, and Asia Pacific. My wife supported me and never complained that we moved ten times during my 34 years with Bayer.

In 2013, I retired from Bayer as a Senior Vice President and Member of Bayer’s Global Leadership team.

Early this year, Dotz asked me to serve as the Chairman of the Board. I accepted this position because I strongly believe in the unique technology Dotz can bring to the world and the immense potential the Company has to become a commercial success.

Now let me address some of the changes and the outlook for Dotz.

Dotz was founded on a business model based on a “Graphene Quantum Dot” (“GQD”). This technology developed at Rice University in the US. This technology is unique and exciting, however upscaling this technology to industrial use became a challenge. Therefore, Dotz has had to spend time, resources and money to develop additional technologies to make this business model both commercial and sustainable.

This effort has been successful and we now have products that can be produced economically and in commercial quantities with expected properties.

Simultaneously, the marketing team has developed relationships in various industries with potential users of our Quantum Dot technology.

These efforts have and continue to be based on many world first applications which can become great revenue generators for Dotz.

Dr. Moti Gross led the company during this period of technology expansion and the initial market development. With the company now commercializing and moving into the next important phase of our growth strategy, the Board of Directors accepted Dr. Gross’ resignation a few weeks ago.

The new Board of Directors has since appointed Uzi Breier as the new CEO. Under his direction, the management have refocused the marketing activities to concentrate now foremost on markets and customers, which in turn can generate revenue quickly. This is a significant change in strategy.

Uzi Breier will address you later and expand on the new focus on the Company.

Uzi brings a lot of experience in large global companies as well as experience in leading startup companies, leading technology driven companies, and leading the introduction of new products to the global market.

I am very pleased to have Uzi Breier as the new CEO. We both agree that Dotz has ‘Change the World’ technology, an all-in technology starting with the tailor-made quantum dots for a specific application through to the electronic devices used to detect the quantum dots in an application. In this industry, Dotz Nano is a complete solution provider.

Here are the priorities for Dotz, as I see them:

• secure the funding necessary to penetrate the market quickly

• concentrate on revenue generating opportunities; and

• focus our financial resources on these specific opportunities

There will be a time to capitalise on all the additional potential applications which have been identified over the past 2 years once we first focus now on targeted industries and allow Dotz to generate the cashflow required to be fully self-supporting.

The technology is outstanding, the team is great, the opportunities are here. We will be successful.

With this, I now turn it over to you on the other side of the World. I am sorry that I am not personally present at the meeting, I believe that our financial resources are better utilized in developing the business rather than flying the Chairman around. Good audio-visual technology is available and thus whilst not being at the AGM physically, it allows me to still be present at this AGM and to answer any questions you may have.

Accordingly, I have asked my fellow Director, Ashley Krongold to Chair the meeting and I now hand over to Ashley to conduct the formalities of the AGM.
