AMENDMENT NO. 7 TO SCHEDULE 13D

Reference is hereby made to the statement on Schedule 13D filed with the Securities and Exchange Commission by the Reporting Persons with respect to the Common Stock of the Issuer on June 6, 2014, Amendment No. 1 thereto filed on July 14, 2014, Amendment No. 2 thereto filed on October 9, 2020, Amendment No. 3 thereto filed on March 9, 2021, Amendment No. 4 thereto filed on March 22, 2022, Amendment No. 5 thereto filed on April 8, 2022 and Amendment No. 6 thereto filed on August 9, 2022 (as so amended, the “Schedule 13D”). Terms defined in the Schedule 13D are used herein as so defined.

The following Item of the Schedule 13D is hereby amended as follows:

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER.

The following paragraphs of Item 5 are amended and restated to read in their entirety as follows:

(a) – (b) The information requested by these paragraphs is incorporated by reference to the cover pages to this Amendment No. 7 to Schedule 13D and is based on 40,136,600 shares of Common Stock outstanding as of July 29, 2022, as reported in the Issuer’s Report on Form 10-Q for the period ended June 30, 2022 filed with the Securities and Exchange Commission on August 3, 2022.

(c) On August 9, 2022 the Funds sold an aggregate 100,000 shares of Common Stock in open market transactions over the New York Stock Exchange, at a weighted average price of $16.32 per share. The shares were sold in multiple transactions at prices ranging from $16.06 to $16.50. The Reporting Persons undertake to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range described herein.

On August 10, 2022 the Funds sold an aggregate 90,000 shares of Common Stock in open market transactions over the New York Stock Exchange, at a weighted average price of $16.34 per share. The shares were sold in multiple transactions at prices ranging from $16.25 to $16.46. The Reporting Persons undertake to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range described herein.

On August 11, 2022 the Funds sold an aggregate 35,000 shares of Common Stock in open market transactions over the New York Stock Exchange, at a weighted average price of $16.45 per share. The shares were sold in multiple transactions at prices ranging from $16.28 to $16.64. The Reporting Persons undertake to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range described herein.

On August 12, 2022 the Funds sold an aggregate 100,000 shares of Common Stock in open market transactions over the New York Stock Exchange, at a weighted average price of $15.39 per share. The shares were sold in multiple transactions at prices ranging from $15.16 to $15.56. The Reporting Persons undertake to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range described herein.

On August 24, 2022 the Funds sold an aggregate 65,000 shares of Common Stock in open market transactions over the New York Stock Exchange, at a weighted average price of $15.23 per share. The shares were sold in multiple transactions at prices ranging from $15.16 to $15.52. The Reporting Persons undertake to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range described herein.
