INFORMATION REGARDING 34TH ANNUAL GENERAL MEETING ("AGM") TO BE HELD THROUGH VIDEO CONFERENCING ("VC") / OTHER AUDIO VISUAL MEANS ("OAVM")

Notice is hereby given that the 34th Annual General Meeting of the Company will be held on Friday, September 25, 2020 at 03:00 P.M. through VC/OAVM to transact the businesses, as set out in the Notice of the AGM which shall be circulated for convening the AGM of the Company.

In view of continuing pandemic caused by CoVID-19 prevailing in the country requiring social distancing, the Ministry of Corporate Affairs ("MCA") has vide its Circular No. 20/2020 dated May 05, 2020 read with Circular No. 14/2020 and 17/2020 dated April 08, 2020 and April 13, 2020, respectively ("MCA Circulars") permitted to hold the AGM through VC/OAVM without the physical presence of the Members at a common venue. In compliance with MCA Circulars and the relevant provisions of Companies Act, 2013 ("the Act") and the Rules made thereunder and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), the 34th AGM of the Members of the Company will be held on Friday, September 25, 2020 at 03:00 P.M. through VC/OAVM without the physical presence of Members.

In compliance with the MCA Circulars and SEBI Circular dated May 12, 2020, the Notice of the AGM and Annual Report for Financial Year 2019-20 will be sent only in electronic mode to those members whose email addresses are registered with the Company/Depository Participants/Registrar & Share Transfer of the Company. The Notice of 34th AGM and Annual Report for the financial year 2019-20 will also be available on the website of the Company i.e. www.donear.com and on the websites of the Stock exchanges of the Company where the shares of the Company is listed i.e. www.bseindia.com and www.nseindia.com and the website of NSDL https://www.evoting.nsdl.com. Members can attend and participate in the AGM through VC/OAVM facility only. The instruction for joining the AGM will be provided in the Notice of the AGM. Members participating through VC/OAVM facility will be reckoned for the purpose of quorum under Section 103 of the Act.

The Company shall be providing remote e-voting facility to all its Members to cast their votes on the businesses as set out in the Notice of the AGM. Additionally, the Company shall be providing the facility of voting through e-voting during the AGM. Detailed procedure for the remote e-voting and e- voting at the AGM shall be provided in the Notice of the AGM.

If your e-mail id is already registered with the Company/DPs/RTA, login details for e-voting are being sent to your registered e-mail address. In case you have not registered your e-mail address and mobile number with the Company/DP/RTA, and/ or not updated your bank account details for receipt of dividend, please follow the below instruction:
