Subject: Update on Disclosure of Events/ Information under Regulation 30 of SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015

Dear Sir/ Madam,

Pursuant to the approval of Board of Directors and with reference to our intimation letter dated August 12, 2024, vide Ref No. DIL/SE/24-25/34, regarding the potential ‘Acquisition of Uniclan Healthcare Private Limited (‘ Uniclan ’)’, we are pleased to inform that, DOMS Industries Limited (‘ the Company ’) has executed the Share Purchase Agreement, Share Subscription Agreement and Shareholders Agreement (collectively referred to as ‘ Definitive Agreements ’) with Uniclan and its existing shareholders. Further, the Company has subscribed to 37,44,708 Equity Shares and purchased 33,71,372 Equity Shares from certain existing shareholders of Uniclan. This represents 51.77% equity shareholding in Uniclan acquired for a total consideration of ₹ 54,87,92,089 (Rupees Fifty Four Crores Eighty Seven Lakhs Ninety Two Thousand Eighty Nine Only).

The said transaction has been completed on September 16, 2024.

Consequent to the above transaction, Uniclan has become a subsidiary of the Company with effect from September 16, 2024.
