Milan, 16 May 2025. DHH S.p.A. (DHH.MI) (ISIN shares IT0005203622) following (i) what was communicated on 21 March 2025, (ii) what was indicated in the explanatory report of the Board of Directors of DHH S.p.A. on the proposed resolutions of the shareholders' meeting made available to the public on 14 April 2025 and (iii) what was communicated on 29 April 2025 regarding the resolution of the extraordinary shareholders' meeting of DHH S.p.A. to issue a maximum of no. 1.039.485 warrants called "Warrant DHH S.p.A. 2025-2028" (the "Warrants"), hereby announces that in the period between 7 May and 13 May 2025 ("Exercise Period") – period in which a maximum of no. 5.197.425 subscription and pre-emption rights (the "Rights") attributed to the shareholders in the ratio of no. 1 Right for every no. 1 DHH S.p. A. share held on the record date of May 6 – 3.394.170 Rights have been exercised. It is also communicated that no. 65 requests have been received to subscribe, with pre-emptive rights, a total of no. 8.425.266 residual Warrants not subscribed at the end of the Exercise Period. In view of the above and considering that the Rights entitle the holder to subscribe, against payment, no. 1 Warrant for every no. 5 Rights exercised, 1.039.485 Warrants have been subscribed. Please note that, due to the fact that the number of Warrants for which preemptive subscription requests have been submitted exceeds the total number of Warrants not subscribed during the Exercise Period, such requests will be satisfied according to a distribution procedure proportional to the number of Rights exercised. ...

Results of the Exercise Period of the Rights relating to the "Warrant DHH S.p.A. 2025-2028"

(DHH.MI) (ISIN shares IT0005203622) following (i) what was communicated on 21 March 2025, (ii) what was indicated in the explanatory report of the Board of Directors of DHH S.p.A. on the proposed resolutions of the shareholders' meeting made available to the public on 14 April 2025 and (iii) what was communicated on 29 April 2025 regarding the resolution of the extraordinary shareholders' meeting of DHH S.p.A. to issue a maximum of no. 1.039.485 warrants called "Warrant DHH S.p.A. 2025-2028" (the "Warrants"), hereby announces that in the period between 7 May and 13 May 2025 ("Exercise Period") – period in which a maximum of no. 5.197.425 subscription and pre-emption rights (the "Rights") attributed to the shareholders in the ratio of no. 1 Right for every no. 1 DHH S.p.A. share held on the record date of May 6 – 3.394.170 Rights have been exercised.

In view of the above and considering that the Rights entitle the holder to subscribe, against payment, no. 1 Warrant for every no. 5 Rights exercised, 1.039.485 Warrants have been subscribed.

Please note that, due to the fact that the number of Warrants for which pre-emptive subscription requests have been submitted exceeds the total number of Warrants not subscribed during the Exercise Period, such requests will be satisfied according to a distribution procedure proportional to the number of Rights exercised.

As previously announced, (i) the Company will apply for admission to trading on Euronext Growth Milan for the Warrants, according to the schedule to be agreed with Borsa Italiana, and (ii) the Warrants will be admitted to the centralized administration system of Euronext Securities (Monte Titoli S.p.A.) in dematerialized form pursuant to Articles 83-bis et seq. of Legislative Decree No. 58 of February 24, 1998.

The issue date of the Warrants will coincide with the trading start date to be agreed with Borsa Italiana.

At present, it is expected that the trading start date of the Warrants will fall within the end of May.
