F12: On October 10, 2014, the Ray Dolby Trust transferred (a) 18,888,660 shares of Class B Common Stock to the Marital Trust and (b) 9,724,578 shares of Class B Common Stock to the Dagmar Dolby Trust. Each such transfer was made for tax and estate planning purposes and no reporting person received any funds or other consideration in exchange for such transfers.
