Item 5.02 Departure of Directors or Certain Officers, Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 17, 2011, Murray Demo, Executive Vice President and Chief Financial Officer of Dolby Laboratories, Inc. (the “Company”), notified the Company of his anticipated retirement from the Company, expected to be effective prior to the end of calendar year 2012. The Company intends to initiate a search for a new chief financial officer and plans to complete this process in advance of Mr. Demo’s retirement date.
