Türk Ticaret Kanunu ("TTK"), Sermaye Piyasası Mevzuatı ve Sermaye Piyasası Kurulu ("SPK") Düzenlemeleri, Kurumlar Vergisi, Gelir Vergisi ve diğer ilgili yasal mevzuat hükümleri ile Şirketimiz Esas Sözleşmesi'nin ilgili hükümleri ve kamuya açıklamış olduğumuz "Kâr Dağıtım Politikası" dikkate alınarak;

- SPK'nın Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği ("II-14.1 sayılı Tebliğ") hükümleri dahilinde, Kamu Gözetimi, Muhasebe ve Denetim Standartları Kurumu ("KGK") tarafından yayımlanan Türkiye Muhasebe Standartları ("TMS")'na ve Türkiye Finansal Raporlama Standartları ("TFRS")'na uygun olarak hazırlanan sunum esasları SPK'nın konuya ilişkin Kararları uyarınca belirlenen, bağımsız denetimden geçmiş, 01.01.2017-31.12.2017 hesap dönemine ait Şirket'in Bireysel Finansal Tabloları'na göre; "Ertelenmiş Vergi Geliri" ile birlikte dikkate alındığında 1.676.799,00 Türk Lirası tutarında "Net Dönem Zararı" oluştuğu,

- Vergi Mevzuatı kapsamında ve T.C. Maliye Bakanlığı tarafından yayınlanan Tek Düzen Hesap Planı'na göre tutulan 01.01.2017-31.12.2017 hesap dönemine ait mali kayıtlarımızda ise 3.292.143,17 Türk Lirası tutarında "Net Dönem Zararı" oluştuğu

görülerek,

- 2017 hesap dönemine ilişkin olarak herhangi bir kar dağıtım yapılmayacağı hususunda pay sahiplerinin bilgilendirilmesine ve bu hususun Genel Kurul'un onayına sunulmasına,

karar verilmiştir.
