Compliance Statement

of the Executive Board and the Supervisory Board of the DMG MORI AKTIENGESELLSCHAFT on the recommendations of the "Government commission on German Corporate Governance Codex" pursuant to Section 161 of the German Corporation Act

Pursuant to Section 161 of the German Corporation Act, the Executive Board and the Supervisory Board of the DMG MORI AKTIENGESELLSCHAFT declare:

• $1.$ Since the last compliance statement of November 2016, DMG MORI AKTIENGESELLSCHAFT has complied with the recommendations of the "Government commission on German Corporate Governance Codex" in the Codex version of 5 May 2015 since its publishing in the German Federal Gazette on 12 June 2015.
• $2.$ With the recommendations of the "Government commission on German Corporate Governance Codex" in the Codex version of 7 February 2017 DMG MORI AKTIENGESELLSCHAFT has complied since its publishing in the German Federal Gazette on 24 April 2017 and will also comply with them in future.
