Pursuant to Regulations 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that Board of Directors of the Company at their meeting held on May 24, 2024, inter-alia, have approved:

1. Financial Results

• The Audited Financial Statements for the quarter and financial year ended March 31, 2024.

In compliance with the Listing Regulations, we are enclosing herewith the said Audited Financial Results and the Statutory Auditor’s Report for the quarter and financial year ended March 31, 2024.

2. Final Dividend

• Recommendation of final dividend at ₹ 2.60 per equity share of ₹ 5.00 each, for FY 2023-2024, subject to approval by Members at the ensuing Annual General Meeting.

• The dividend, if approved, shall be paid/dispatched to the shareholders within 30 days of its approval by the shareholders, at the ensuing Annual General Meeting.

3. Other Business

• The Internal Audit report for the financial year ended March 31, 2024.
