PROPOSED CAPITAL REORGANISATION

AND SHARE CONSOLIDATION

The Board is currently contemplating a revised proposal in relation to the proposed capital reorganisation and share consolidation plan as described in the Company's announcement dated 18 August, 2000. Hence, the despatch of the relevant circular to the shareholders of the Company will be delayed until further notice.

Reference is made to the announcement made by the Company dated 18 August, 2000 (the "Announcement") in relation to the Capital Reorganisation Proposal and the Share Consolidation Proposal. Capitalised terms used herein shall bear the same meanings as those defined in the Announcement unless the context otherwise requires.

The Board is currently contemplating a revised proposal whereby the terms and the timing of the Capital Reorganisation Proposal and the Share Consolidation Proposal as described in the Announcement will be altered accordingly. Hence, the despatch of the relevant circular to the shareholders of the Company will be delayed. Further announcement will be made by the Company in connection with its revised proposal in due course as and when appropriate.
