VOLUNTARY ANNOUNCEMENT ACQUISITION OF LAND

Reference is made to the announcement (the “ Announcement ”) of China Minsheng Drawin Technology Group Limited (the “ Company ”) dated 14 July 2015 in relation to the project investment agreement dated 14 July 2015 entered into between the Company and the Nanjing Jiangning Binjiang Economic Development Zone Management Committee. Unless otherwise defined in this announcement, capitalised terms used herein shall bear the same meanings as defined in the Announcement.

The Company is pleased to announce that on 22 March 2016, China Minsheng Drawin Technology Company Limited (Jiangsu)* (中民築友科技（江蘇）有限公司), a company with limited liability established in the People’s Republic of China (the “ PRC ”) and an indirect wholly owned subsidiary of the Company, has succeeded in the public auction to acquire the land-use right of two land parcels (the “ Land Parcels ”) in Nanjing City, Jiangsu Province, the PRC for a total consideration of approximately RMB60,520,000 (the “ Consideration ”).

The Land Parcels are situated at Nanjing Jiangning Binjiang Economic Development Zone, Nanjing City, Jiangsu Province, the PRC (中國江蘇省南京江寧濱江經濟開發區). The total site area of the Land Parcels is approximately 100,838 sq.m. The Land Parcels are designated for developing a project titled China Minsheng Drawin Green Construction Technology Park* (中 民築友綠色建築科技園) (the “ Project ”) which involves the research and development, design, production and sales of intelligent and green building construction technology and modules for prefabricated construction. The term for the industrial land usage is 50 years. The Land Parcels were provided for public auction by the Municiple Bureau of Land and Resources of Jiangning District, Nanjing City* (南京市江寧國土資源局). The Consideration will be funded by internal resources of the Company and its subsidiaries (the “ Group ”).

In view of the location and the designated use of the Land Parcels, the directors of the Company (the “ Directors ”) consider that the acquisition of the Land Parcels is in line with the business development strategy and plan of the Group. The Directors further consider that the acquisition is carried out in the ordinary course of business and are on normal commercial terms which are fair and reasonable and in the interests of the shareholders of the Company as a whole.

This announcement is made by the Company on a voluntary basis.
