VOLUNTARY ANNOUNCEMENT ACQUISITION OF LAND

Reference is made to the announcement (the “ Announcement ”) of China Minsheng Drawin Technology Group Limited (the “ Company ”) dated 27 October 2015 in relation to the project investment agreement dated 27 October 2015 entered into between the Company and the Management Committee of Songmu Industrial Park, Hengyang, Hunan. Unless otherwise defined in this announcement, capitalised terms used herein shall bear the same meanings as defined in the Announcement.

The Company is pleased to announce that on 28 December 2015, China Minsheng Drawin Technology Company Limited (Hengyang)* (中民築友科技（衡陽）有限公司 ), a company with limited liability established in the People’s Republic of China (the “ PRC ”) and a indirect whollyowned subsidiary of the Company, has succeeded in the public auction to acquire the land-useright of a land parcel (the “ Land Parcel ”) in Hengyang City, Hunan Province, the PRC for a total consideration of approximately RMB49,500,000 (the “ Consideration ”).

The Land Parcel is situated at Songmu Industrial Park, Shigu District, Hengyang City, Hunan Province, the PRC (中國湖南省衡陽市石鼓區松木經濟開發區 ). The total site area of the Land Parcel is approximately 100,000 sq.m. The Land Parcel is designated for developing a project titled China Minsheng Drawin Green Construction Technology Park* (中民築友綠色建築科技 園 ) (the “ Project ”) which involves the research and development, design, production and sales of intelligent and environmental friendly building construction technology and materials. The term for the industrial land usage is 50 years. The Land Parcel was provided for public auction by the Hengyang Municiple Bureau of Land and Resources (衡陽市國土資源局 ). The Consideration will be funded by internal resources of the Company and its subsidiaries (the “ Group ”).

In view of the location and the designated use of the Land Parcel, the directors of the Company (the “ Directors ”) consider that the acquisition of the Land Parcel is in line with the business development strategy and plan of the Group. The Directors further consider that the acquisition is carried out in the ordinary course of business and are on normal commercial terms which are fair and reasonable and in the interests of the shareholders of the Company as a whole.

This announcement is made by the Company on a voluntary basis.
