Item 1.01 Entry into a Material Definitive Agreement.

On January 29, 2010 Lawson Products, Inc. (the "Company") entered into a Second Amendment to Credit Agreement ("Second Amendment") as borrowers with The PrivateBank and Trust Company as lender and agent, to modify certain terms of the Credit Agreement. The Second Amendment provides that as of December 31, 2009 the Company and its Subsidiaries’ Consolidated EBITDA, including a $5.3 million add back in 2010 for the anticipated expense related to the implementation of an ERP system, shall not be below $8.0 million for the twelve month period ending December 31, 2009, $9.5 million for the twelve month period ended March 31, 2010 and $10.0 million for the twelve month periods ended June 30, 2010, September 30, 2010 and December 31, 2010, respectively. The ratio of cash plus accounts receivable and inventory to outstanding debt was increased from 1.75:1.00 to 2.00:1.00. The applicable interest rate margin of three percent for LIBOR Loans and zero percent for Prime Loans was extended through June 30, 2010. Thereafter, the Applicable Margin for LIBOR Loans and Prime Loans shall be adjusted as set forth in the Credit Agreement. The foregoing description of the Second Amendment is qualified in its entirety by reference to the full text of the Second Amendment.
