("DF Capital" or the "Company" together with its subsidiaries the "Group")

Transfer of Treasury Shares and Total Voting Rights

Pursuant to AIM Rule 17, the Company (DFCH:AIM) announces that on 26 September 2025 it transferred 114,000 ordinary shares of 1 pence each ("Ordinary Shares") out of treasury for £0.30 per Ordinary Share to satisfy the exercise of share options pursuant to the Company's SAYE scheme.  

Following this transfer, the Company's issued share capital consists of 179,369,199 Ordinary Shares of which 12,642,866 Ordinary Shares are held in treasury. The voting rights of treasury shares are automatically suspended.   

The total number of voting rights in the Company is therefore 166,726,333. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
