DIPLOMA PLC - DIRECTORS' LTIP AWARDS

The Remuneration Committee of the Board has approved the grant of Awards to Executive Directors under the Diploma PLC 2011 Performance Share Plan ("PSP") and under the Diploma PLC 2011 Share Matching Plan ("SMP").

The SMP Awards follow notification that the Executive Directors have pledged as Investment Shares under the SMP, the maximum number of ordinary shares to which they are permitted under the Rules.

Accordingly, the Remuneration Committee of the Board has approved the grant of the following Awards:

The Awards made are subject to the achievement of performance conditions measured over a three year performance period ending 30 September 2016 and represent the maximum number of Ordinary Shares which may vest under these Awards.
