Diös Fastigheter AB (publ) ("the Company") has held an EGM on Wednesday 21 December 2016 at 11.00 a.m. in Östersund. At the EGM, it was resolved to amend the Articles of Association and to carry out a new issue of shares as described below.
The EGM resolved to approve the Board's resolution to amend the Articles of Association. In accordance, the limits for the Company's share capital are amended to a minimum of SEK 149,000,000 and a maximum of SEK 596,000,000 and the limits for the number of shares in the company are amended to not less than 74,000,000 shares and not more than 296,000,000 shares.
The EGM resolved to approve the Board's resolution to carry out a new issue of shares with preferential rights for the Company's shareholders. According to the resolution, the Board, or a party appointed by and within the Board, is authorized, not later than five weekdays prior to the record date, to decide on the amount to increase the Company's share capital, the maximum number of shares to be issued under the rights issue, the number of existing shares that will entitle to subscription for a specific number of new shares and the subscription price to be paid for each new share. Upon full subscription of the rights issue, the Company will receive an amount of approximately SEK 1,800 million before deduction of costs for the rights issue. The rights issue is carried out as part of the Company's financing of the acquisition of a property portfolio from Castellum.
