Current Report no.11/2020 - Extension of the term of validity of an important agreementfor the development of Dino Polska S.A.

Body of the report:The Management Board of Dino Polska S.A. ("Company") reports that on 30June 2020, acting pursuant to the consent given by the Company'sSupervisory Board, it signed an annex ("Annex") to the frameworkagreement for construction work executed on 3 March 2017 ("FrameworkAgreement") between the Company and Krot Invest KR Inżynieria spółka zograniczoną odpowiedzialnością SKA("General Contractor") which the Companyreported in its issue prospectus in 2017.

The Framework Agreement defines theterms and conditions according to which the orders to build theindividual Dino stores the Company submits to the General Contractor aresupposed to be performed. By the power of the Annex, the term for whichthe Framework Agreement has been executed is extended from 30 June 2020to 30 June 2025. The fee defined in the Framework Agreement per 1 squaremeter of floor space of development due to the General Contractor forbuilding a store will remain unchanged with the stipulation that by thepower of the Annex a mechanism will be introduced to index this fee oncea year, starting from the date of signing the Annex, using theconstruction and assembly price index (for the construction ofbuildings) published by the President of the Central Statistical Officefor the year preceding the year to which the indexation applies. Theother material terms and conditions of the Agreement are not subject tochange.

The Company has made the decision topublish the above information on account of the great significance ithas for the ongoing organic growth of Dino Polska S.A. According to theCompany, signing the Annex will enable it to maintain a high level ofstandardization and efficiency in the investment process pertaining tothe launch of new Dino stores and will make it possible to maintain therapid rollout of the Dino network in upcoming years.
