Announcement of Regulated Information under Law 3556/2007 Notification of change in the percentage of voting rights

Pursuant to Law 3556/2007, as in force, DIMAND Societe Anonyme – Development and Exploitation of Real Estate and Constructions, Services and Holdings" (the "Company") announces that:

A. On 21.01.2026 it received a notification from its shareholder, Mr. Dimitrios Andriopoulos, regarding a change (decrease) in the voting rights of the aforementioned shareholder and, specifically, a change in the percentage of voting rights he holds exceeding 3% of the Company's total voting rights compared to his last notification, as a result of which, concurrently, the said shareholder fell below the threshold of 50% of the voting rights he holds in the Company, in accordance with Article 9 of Law 3556/2007, as in force.

More specifically, according to the above notification received, the Company was informed of a disposal by the aforementioned shareholder of voting rights on 16.01.2026, as follows:

Number of shares and equal number of voting rights at the time of the last notified transaction: A total of 10,135,831 shares and voting rights, i.e., 54.259% of the Company's total voting rights (of which Mr. Andriopoulos held directly 10,094,681 shares with voting rights, i.e., 54.039%, and indirectly, through the entity controlled by him, Damen Holdings Limited, 41,150 shares with voting rights, i.e., 0.220%, out of the Company's total voting rights amounting to 18,680,300).

Number of shares and equal number of voting rights after the latest transaction: A total of 9,334,432 shares and voting rights, i.e., 49.969% of the Company's total voting rights (of which Mr. Andriopoulos holds directly 9,322,782 shares with voting rights, i.e., 49.907%, and indirectly, through the entity controlled by him, Damen Holdings Limited, 11,650 shares with voting rights, i.e., 0.062%, out of the Company's total voting rights amounting to 18,680,300).

B. Subsequently, on 22.01.2026, it received a notification from the aforementioned shareholder, Mr. Dimitrios Andriopoulos, regarding the change (increase) in the voting rights of the said shareholder and, specifically, regarding a change in the percentage of voting rights he holds, as a result of which the said shareholder exceeded the threshold of 50% of the voting rights he holds in the Company, pursuant to Article 9 of Law 3556/2007, as in force.

More specifically, according to the above-mentioned notification received, the Company was informed of the acquisition by the said shareholder of voting rights on 21.01.2026, as follows:

Number of shares and equal number of voting rights at the time of the last notified transaction: A total of 9,334,432 shares and voting rights, namely a percentage of 49.969% of the total voting rights of the Company (of which Mr. Andriopoulos held directly 9,322,782 shares with voting rights, namely a percentage of 49.907%, and indirectly, through the undertaking controlled by him, Damen Holdings Limited, 11,650 shares with voting rights, namely a percentage of 0.062%, of the total voting rights of the Company, which amounts to 18,680,300).

Number of shares and an equal number of voting rights after the latest transaction: A total of 9,344,432 shares and voting rights, namely a percentage of 50.023% of the total voting rights of the Company (of which Mr. Andriopoulos currently holds directly 9,332,782 shares with voting rights, namely a percentage of 49.961%, and indirectly, through the undertaking controlled by him, Damen Holdings Limited, 11,650 shares with voting rights, namely a percentage of 0.062%, of the total voting rights of the Company, which amounts to 18,680,300).
