Dear Sir/Madam,
This is with reference to the Postal Ballot Notice dated April 01, 2026 (‘Notice’), circulated to the Members of the Company and submitted with the Stock Exchanges on April 01, 2026.
We wish to inform you that the Company today, i.e. April 13, 2026 has circulated a Corrigendum in continuation to the Notice, by electronic mode to the Members of the Company. The Corrigendum to the Notice is enclosed herewith.
The Corrigendum shall be dispatched to the Members by electronic means on the email addresses registered with the Depository Participant(s) / Company / the Registrar and Share Transfer Agents of the Company.
Copy of this Corrigendum is also available on the website of the Company at www.dilipbuildcon.com and on the website of e- voting service provider i.e. MUFG Intime India Private Limited i.e. www.in.mpms.mufg.com.

CORRIGENDUM TO THE POSTAL BALLOT NOTICE DATED APRIL 01, 2026
The members of the Dilip Buildcon Limited (“ Company ”) are hereby informed that the Company has issued the Postal Ballot Notice dated April 01, 2026 (“ Postal Ballot Notice ”) to the Shareholders (“ Members ”) inter alia to consider and pass the resolutions listed in the Postal Ballot Notice through remote electronic voting process (“ remote voting/ e-voting ”). The Postal Ballot Notice was dispatched to the Members of the Company on April 01, 2026.
This corrigendum (“ Corrigendum ”) is being issued in continuation to the Postal Ballot Notice together with the explanatory statement thereof and shall be deemed to be an integral part of the Postal Ballot Notice. Pursuant to this Corrigendum, the Members of the Company are hereby informed and requested to note that the details have been updated to rectify certain inadvertent errors in the tabular disclosure of the Explanatory Statement pursuant to Section 102(1) of the Companies Act, 2013, forming part of Item No. 13 of the Postal Ballot Notice and to ensure accuracy, clarity, and proper disclosure of the proposed limits and to enable the members to take an informed decision.

Pursuant to the provisions of Section 185(3) of the Companies Act, 2013, the restrictions contained in sub-sections (1) and (2) shall not apply to any loan made by the holding company to its wholly owned subsidiary company. However, the status of certain entities mentioned above may undergo change. Accordingly, such entities are included within the scope of the approval sought from the Members.
Further, the acquisition of Mekhali Power Transmission Limited is currently under process and upon completion of the said acquisition, it can become a wholly owned subsidiary/ subsidiary / step-down subsidiary of the Company. Accordingly, the said entity is also included within the scope of the approval sought from the Members.
The aggregate limit of Rs. 3,785.50 Crores as stated in the resolution under Item No. 13 remains unchanged.
All other contents of the Postal Ballot Notice save and except as clarified, modified or supplemented by this Corrigendum, shall remain unchanged. The Members are requested to take note of the same.
This Corrigendum shall form an integral part of the Postal Ballot Notice together with the Explanatory Statement thereof, which has already been circulated to the Members of the Company on April 01, 2026 and on and from the date hereof, the Postal Ballot Notice together with the Explanatory Statement thereto shall always be read in conjunction with this Corrigendum. Accordingly, all concerned shareholders, Stock Exchanges, Depositories, Registrar and Share Transfer Agent, Scrutinizer, or other agencies appointed for e-voting, other authorities and all other concerned persons are requested to take note of the above changes.
A copy of this Corrigendum and the Postal Ballot Notice shall be available on the Company’s website at www.dilipbuildcon.com websites of the Stock Exchanges i.e. www.bseindia.com and www.nseindia.com and on the website of e-voting service provider i.e. MUFG Intime India Private Limited i.e. www.in.mpms.mufg.com.
We would like to inform all those members, who have already casted their votes in the ongoing postal ballot i.e. after the start of e-Voting towards the postal ballot but prior to receiving this corrigendum dated April 13, 2026, and if they wish to modify their votes in light of the information provided in the corrigendum, they can do so by writing an email to the scrutinizer at the following email address [email protected] on or before 5.00 P.M.
