Subject: Resolution of Supervisory Board on adoption of therecommendation of the Management Board and providing the General Meetingwith a proposal for the net profit distribution for the 2018 financialyear

The Management Board of Pfleiderer Group S.A. (hereinafter the"Company") informs that on May 21st,2019 Supervisory Board of theCompany positively evaluated the motion of Management Board regardingdistribution of Company's net profit for 2018 business year.

The Supervisory Board recommends to the General Meeting an acceptance ofthe motion of the Management Board of the Company and an allocation ofthe entire net profit for period from 01.01.2018 to 31.12.2018 in atotal amount of PLN 144,442 thousand to the supplementary capital of theCompany.

This report was prepared pursuant to Article 17, Section 1 of Regulation(EU) No. 596/2014 of the European Parliament and of the Council of 16April 2014 on market abuse (market abuse regulation) and repealingDirective 2003/6/EC of the European Parliament and of the Council andCommission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
