Subject: Dividend payout for 2016

Current Report no. 35/2017

The Management Board of Pfleiderer Group S.A. (the "Company") herebyannounces that on 21 June 2017 the Ordinary General Shareholders Meetingof the Company adopted a resolution concerning distribution of netprofit for the period from January 1st to December 31st 2016, providingfor the dividend payment for the Company's shareholders in the amount ofPLN 71,171,107.70 representing PLN 1.10 per each Company' share. All ofthe Company's shares are covered by the dividend, i.e. 64,701,007 shares.

Additionally, the Ordinary General Shareholders Meeting of the Companyset the following dates:

1) a dividend date (the date used to prepare the list of shareholderseligible to receive the dividend) is set for 5 July 2017, and

2) dividend payment date is set for 19 July 2017.

This report was prepared pursuant to § 38 Section 2 of the Regulation ofthe Polish Council of Ministers on current and periodic information tobe published by issuers of securities and conditions for recognition asequivalent of information whose disclosure is required under the laws ofa nonmember state, dated February 19th 2009 (Dz. U. No. 33, item 259, asamended).
