ASX ANNOUNCEMENT 26 MARCH 2024 SHARE PLACEMENT CLEANSING NOTICE

DigitalX Limited (ASX: DCC, “DigitalX” or the “Company”) hereby provides notice to the ASX for the purposes of section 708A(5)(e) of the Corporations Act 2001 (Cth) (the “Act”) regarding the issue of:

• i) 77,604,154 fully paid ordinary shares, at an issue price of $0.067, as detailed in the Appendix 2A released to the ASX today; and

• ii) 87,604,154 unlisted options as detailed in the Appendix 3G also released to the ASX today. (together the “Securities”)

Pursuant to section 708A(6) of the Act the Company advises that:

• a) the above-mentioned Securities were issued without disclosure to investors under Part 6D.2 of the Act;

• b) this notice is being given under section 708A(5)(e) of the Act;

• c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Act as they apply to the Company; and

  • ii. sections 674 and 674A of the Act; and

• d) as at the date of this notice, there is no information that is “excluded information” within the meaning of Section 708A(7) and 708A(8) of the Act.
