Introductory Note

Unless otherwise indicated or unless the context requires otherwise, all references in this report to “we,” “us,” “our,” “our company,” “the company” or “Digital Realty” refer to Digital Realty Trust, Inc., together with its consolidated subsidiaries, including Digital Realty Trust, L.P., our “operating partnership.”

Item 8.01. Other Events.

As previously disclosed in our Current Report on Form 8-K filed on September 13, 2021, on September 8, 2021, Digital Realty Trust, Inc. entered into forward sale agreements with each of Bank of America, N.A., Citibank, N.A. and JPMorgan Chase Bank, National Association (collectively, the “Forward Purchasers”). On November 15, 2022, we physically settled the remaining portion of the forward sale agreements in full by issuing an aggregate of 3,591,461 shares of our common stock to the Forward Purchasers in exchange for net proceeds of approximately $539 million.
