DIGITAL MAGICS: COMMUNICATION OF CHANGES IN SHARE CAPITAL AND RELEVANT SHAREHOLDERS
Milan, January, 13 2020
Digital Magics S.p.A., business incubator listed on the AIM Italia market of the Italian Stock Exchange (symbol: DM), hereby declares, according to article 17 of the AIM Italia Rules for Companies, the new breakdown of the share capital (fully subscribed and paid up) following the end of Third Exercise Period (from October 1 and up to October 31 2019) of the "Digital Magics SpA Warrants 2017-2022 ", ISIN code no. IT0005253247.
During the Third Exercise Period no. 62 warrants were exercised and no. 62 Digital Magics newly issued ordinary shares (the "Conversion Shares") were consequently subscribed (in the ratio of no. 1 new share for each Warrant exercised) at a price of EUR 6.95 each, for a total value of EUR 430.90.

StarTIP S.r.l. is an investment holding fully owned by Tamburi Investment Partners S.p.A., devoted to investments into digital startups and innovative companies.
The shares held by Alberto Fioravanti, Chairman and Founder of Digital Magics S.p.A., equal to 11.10%, include those held by Maria Pia Pensini, the spouse of Alberto Fioravanti. Marco Gay, CEO of Digital Magics S.p.A., holds 326,576 ordinary shares of Digital Magics, equal to 4.40%, directly and indirectly through WebWorking Srl (100% owned by Marco Gay).
