NOTICE OF CHANGE OF AUDITOR (NATIONAL INSTRUMENT 51-102)

To: Alberta Securities Commission British Columbia Securities Commission Ontario Securities Commission Canadian Securities Exchange

And To: MNP LLP, Chartered Professional Accountant (“MNP”)

And to: BF Borgers CPA PC, Certified Public Accountants (“Borgers”)

In accordance with section 4.11 of National Instrument 51-102 Continuous Disclosure Obligations (“ NI51-102 ”) the Audit Committee and the Board of Directors of The BC Bud Corporation (“ the Company ), hereby provide notice that MNP has resigned as the Company’s auditor effective May 31, 2023 (the “Resignation”) and the Directors of the Company have subsequently appointed Borgers as the successive auditor.

In accordance with NI 51-102, we confirm that:

• (a) At the request of the Company, MNP was asked to resign as auditor of the Company to facilitate the appointment of Borgers effective as of May 31, 2023;

• (b) MNP has not issued any audit reports on the Company’s financial statements as they were appointed as auditors on September 23, 2022;

• (c) The resignation of MNP and appointment of Borgers as the auditor of the Company was considered and approved by the audit committee and the board of directors of the Company;

• (d) In the opinion of the board of directors of the Company no reportable events (as defined in section 7(e) of NI 51-102) has occurred in connection with the audits of the two most recently completed fiscal years of the Company, nor any period from the most recently completed period for which an audit report in respect of the Company and the date of this notice; and

• (e) This notice, the resignation of MNP and the consent of Borgers has been reviewed by the audit committee and the board of directors of the Company
