Eat Beyond Global Announces Private Placement of Units

Vancouver, B.C. – April 6, 2021 – Eat Beyond Global Holdings Inc. (CSE: EATS) (OTCPK: EATBF) (FSE: 988) (“ Eat Beyond ” or the “ Company ”), an investment issuer focused on the global plant-based and alternative food sector, is announcing that it will proceed with a non-brokered private placement of up to 500,770 units of the Company (the “ Units ”) at $2.09 per Unit for gross proceeds of up to $1,046,610.00 (the “ Offering ”). Each Unit will consist of one common share in the capital of the Company (a “ Share ”) and one transferrable common share purchase warrant (a “ Warrant ”). Each Warrant will entitle the holder to purchase one additional Share at a price of $2.50 for a period of 24 months from the closing of the Offering.

The Company may pay a finder’s fee on the Offering within the amount permitted by the policies of the Canadian Securities Exchange (the “ CSE ”). Closing of the Offering is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals, including the CSE. All securities issued in connection with the Offering will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation. The proceeds from the Offering will be used for general working capital.
