Explanatory Note

This Amendment No. 1 on Form 8-K/A is being filed by the Company to amend its current report on Form 8-K filed with the Securities and Exchange Commission (“SEC”) on November 17, 2021 (the “Original Form 8-K”), for the purposes of amending Item 2.02 Results of Operations and Financial Condition and Item 9.01 Financial Statements and Exhibits, to reflect certain retrospective revisions and changes from the Original Form 8-K as well as in the original press release.

Item 2.02 Results of Operations and Financial Condition.

On November 19, 2021, Digital Ally, Inc. issued a press release entitled “Digital Ally, Inc. Announces Third Quarter 2021 Operating Results” which replaces and supersedes the November 17th press release. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
