This is to inform you that the Board of Directors in its meeting held today i.e. on $26^{th}$ September, 2019 has, inter $$ alia, approved the following:
Appointment of Directors on the Board of the Company
The Board of Directors, on the recommendation of Nomination and Remuneration Committee, has decided to appoint the following persons as directors w.e.f. 1st October, 2019:
Mr. Mayank Jain (DIN: 00251609), as an additional director, in the category of Independent Director. a.
b. Ms. Preeti Das, Chief Executive Officer of the Company, (DIN: 05271289) as Executive Director and Chief Executive Officer.
It is affirmed that, as per the declaration received from the abovementioned persons being appointed as directors, they are not debarred from holding the office of director by virtue of any SEBI order or any other such authority.
As required under Regulation 30 SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the requisite information of new directors is enclosed herewith as Annexure 'A'.
Re- Designation of Executive Director 2.
Consequent to the appointment of Ms. Preeti Das as Executive Director, Mr. Dilip Modi (DIN: 00029062) has been appointed as Non-Executive Director and designated as Non - Executive Chairman of the Company w.e.f. $1st$ October, 2019.

## Mr. Mayank Jain (DIN: 00251609)
Mr. Mayank Jain completed his Bachelor in Engineering and worked at Tata Motors for two years in both Jamshedpur and Pune. He then migrated to Canada to pursue his MBA in the late 90s at the Richard lvey School of Business at the University of Western Ontario in London, Ontario. lvey's MBA has been ranked the #1 MBA Program in Canada consistently by Bloomberg Businessweek. Further, Mr. Mayank holds the distinction of being named to the Dean's Honour List in his MBA class.
After completing his MBA, he worked at one of the big 4 consulting firms in Toronto, Deloitte Consulting. Here he helped several clients in the mining industry in Northern Ontario to streamline and improve their business processes. He also assisted Bell Canada establish their new billing system for Broadband services.
After his stint at Deloitte, Mr. Mayank went on to join Siebel Systems in the United States, the largest Customer Relationship Management (CRM) company in the world. Siebel also became the fastest growing company globally during the early 2000s. Mr. Mayank held the position of Senior Director of Products for Automotive and Manufacturing industries for a number of years with Siebel.
In 2006, Mr. Mayank moved back home to India to pursue business opportunities, and over the last few years, he has built a Cable TV and Broadband business spanning across 5 states in India and growing at a very fast pace. His company is also partners with Facebook Express Wifi Project providing WIFI Services to many offices, hospitals, malls and outdoor customers.
## Ms. Preeti Das (DIN: 05271289)
in a career spanning over 30 years, Preeti has a rich experience with multiple large organizations globally, holding key positions of responsibility. She has represented a roster of corporate giants, including Oracle, ICICI Lombard and Microsoft. She has held CEO/Board level positions at Birlasoft and Castek (a Canadian Insurance technology firm -an iflex/Oracle acquisition). Her last assignment was Executive Vice President, a CXO position at Sutherland Global services, heading up Digital & IT Services.
**Her approach to management is notable for transformational expansion, having driven organizations to develop** innovative services that respond to customer demands. A recipient of the 2014 global CEO award and a global women entrepreneur award in 2010, she has shepherded companies beyond their traditional strengths and enabled them to play a vital role in collaborating with global businesses to transform and innovate.
She has just launched her new venture Gennextpro that focusses on the Next Generation Professional Talent. The first unique program Fast Tracks the acquisition of 'HiPo and Diversity' Digital/4.0 Talent by engaging deeply with educational institutions to Assess talent in the course of executing projects during their learning cycle. She has been working as CEO of the Company w.e.f. 2"' November, 2018.
