("TCM Partners") made an in-kind distribution of an aggregate 1,385,147 shares to certain of its limited partners on a proportionate basis, for no consideration, including 32,081 shares that were distributed in a transaction exempt from Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), pursuant to Rule 16a-13 thereunder.
F2: The securities are directly owned by TCM Partners. TCM Strategic GP LLC ("TCM GP") is the general partner of TCM Partners. Riley McCormack is the sole manager of TCM GP.
