Pursuant to Regulation 30 and other applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time, we hereby inform that the Board of Directors of the Company at its meeting held today i.e. May 16, 2026, has inter-alia considered and approved the following:

Incorporation of a Subsidiary of the Company, subject to the compliance with applicable provisions of laws. The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 are attached as Annexure-A.

The Board Meeting commenced at 3:00 P.M. (IST) and concluded at 3:50 P.M. (IST).
