Repurchase and disposal of own shares

In accordance with articles 8:4 and 8:6 of the Royal Decree of 29 April 2019 implementing the Code on Companies and Associations, D'leteren Group announces today the purchase and disposal of treasury shares on the regulated market of Euronext Brussels and / or an MTF between 29 October and 4 November 2025.

The extraordinary shareholders' meeting of D'leteren Group renewed on 25 May 2023 the powers of the Board of Directors to acquire and dispose of own shares for a period of 5 years.

The total number of own shares held by D'leteren Group reached 1,063,451 (2.0%) on 4 November 2025. The total number of ordinary shares equals 53,690,082.

During the period, between 29 October and 4 November 2025, D'leteren Group has purchased 13,800 treasury shares on the regulated market of Euronext Brussels at an average price of €157.08 per share. This purchase has been carried out to hedge option schemes granted to officers and managers by virtue of the power endowed to the Board of Directors by the General Meeting of Shareholders on 31 May 2018.
