The Reporting Person may be deemed to be a director by deputization as a result of its ability to appoint the directors of Viper Energy Partners GP LLC.

F2: As described in the Issuer's Registration Statement on Form S-1 (No. 333-195769), immediately prior to and in connection with the closing of the initial public offering of the Issuer (the "Offering"), the Reporting Person will contribute its 100% limited liability company interest in Viper Energy Partners LLC to the Issuer in exchange for the issuance to the Reporting Person of up to 71,200,000 common units.
