• 1. SYKTrading and Consultancy llP ceased to be promoter of the Company

Dear Sirs,

Pursuant to the Share Purchase Agreement dated i h November, 2019 entered into between Alkyl Amines Chemicals Umitd (AACL)and Mr. Amit Mehta & Associates, AACLhas transferred its entire shareholding and as on date, AACL holds no shares in Diamines Chemicals Limited (DACL).

I hereby submit my resignation from the Board of Directors with immediate effect in terms of the shareholding agreement dated March 14, 2001 between both the Promoters, which provides that AACLcan have the nominee Director on the Board so long as it holds not less than 10% ofthe shareholding of DACL.

I recall with pride the progress achieved by DACL for the last 20 years since the existing Promoters took over DACLfrom erstwhile Management and revived DACL,which was at that time a BIFRCompany. It has been a pleasure to be associated with DACl for the last 20 years and to witness its growth.

As Chairman of the Board of Directors, I wish to express my appreciation of the excellent cooperation that I have received from Mr. Amit Mehta, Vice Chairman and my colleagues on the Board during my tenure and am resigning from the Board with the satisfaction that I am leaving the company in the hands of an excellent team.

Pleasearrange to take necessary steps to delete my name from the List of Promoters and declassify my shareholding as Public Shareholding after taking necessary approval from appropriate authorities.

Pursuant to the Share Purchase Agreement dated November 7,2019 entered into between this Company and Mr. Amit Mehta & Associates, we have transferred all our equity shares held in the Company and ason date, we are not a shareholder of the Company and have also ceasedto be the Promoter. As a result, the Shareholders Agreement dated March 14, 2001 between this Company and Mr. Amit Mehta & Associates stands terminated.

Kindly arrange to make necessary steps:

• a) To remove our name and the names of Mr. Yogesh M. Kothari and Messrs. SYKTrading LLPfrom the list of Promoters from all statutory records/returns with immediate effect and intimate the same to the authorities. concerned.
• b) Convene an Extraordinary General Meeting of the Company to delete from the Articles of Association, the relevant portion of the Shareholders Agreement dated March 14, 2001and such other actions as may be required.
