Exercise of options

Driver Group plc (AIM: DRV.L), the global construction consultancy to the construction and engineering industries, announces that it has been notified that Damien McDonald, Finance Director, has today exercised options over a total of 100,000 ordinary shares (the "Options") under the Company's employee share option schemes at an option price of 21.5p per share.

The shares issued pursuant to the exercise of the option, together with an additional 10,000 shares currently held by Mr McDonald and his wife, are being transferred into Mr McDonald's SIPP account.

Following the exercise of the options, Damien' McDonald's disclosable beneficial interest in the Company is 110,000 ordinary shares representing 0.4 per cent. of the Company's issued share capital as enlarged by the exercise of options.

In addition, the Company has received a valid notice of exercise of options of a further 100,000 ordinary shares under the Company's employee share option schemes.

Application has been made for the 200,000 new ordinary shares to be admitted to trading on AIM and it is expected that admission will take place on 15 December 2014.

The new ordinary shares will rank pari passu with the existing shares of the Company. Pursuant to admission of the new ordinary shares, the total issued share capital of Driver Group will be 29,548,690 ordinary shares.

The above figure of 29,548,690 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Driver Group, under the Disclosure and Transparency Rules.
