ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 9, 2021, Christian Dwyer, Chief Product Officer of DHI Group, Inc. (the "Company") and the Company mutually agreed that Mr. Dwyer would step down from his position as Chief Product Officer effective November 9, 2021. Paul Farnsworth, Chief Technology Officer, will oversee both the technology and product organizations of the Company effective immediately.

The Company and Mr. Dwyer will enter into a Separation Agreement and General Release pursuant to which (i) Mr. Dwyer will receive continued payment of his base salary for twelve months, (ii) will receive accelerated vesting of certain unvested restricted and performance stock, and (iii) will continue to serve in an advisory capacity to the Company through January 2, 2022 to assist with the transition.
