Sub: Prior Intimation under Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“Listing Regulations”), of the meeting of Board of Directors of Dhanuka Agritech Limited (“Company”) to consider the proposal for Buyback of its Equity Shares.

This communication is in continuation to our earlier letter dated 10[th] July, 2020, informing that a meeting of the Board of Directors of the Company ( “Board” ) is scheduled to be held on Wednesday, 22[nd] July, 2020 , inter-alia, to consider and approve Un-audited Standalone and Consolidated Financial Results of the Company for the quarter ended 30[th] June, 2020.

Pursuant to Regulation 29 of the Listing Regulations, it is hereby intimated that the Board of Directors of the Company, in the meeting scheduled to be held on Wednesday , 22[nd] July, 2020 , would also consider and evaluate the proposal for Buyback of its fully paid up Equity Shares of the Company and other related matters.

Please be advised that in accordance with Code of Conduct to regulate, monitor and report trading by Designated Persons of the Company pursuant to SEBI (Prohibition of Insider Trading) Regulations 2015, the Trading Window of the Company is already closed from 30[th] June, 2020 till the expiry of 48 hours after the declaration of the Results of the Company for the Quarter ended 30[th] June, 2020.
